Ahead of the extraordinary general meeting on 8 December, the board of directors of Schiehallion has published detailed information to counter a negative recommendation from proxy adviser ISS. The proposed B‑share structure is intended to preserve FPI status and thus avoid onerous US reporting requirements; the B shares would carry only very limited voting rights, restricted to appointments/removals of the board, and would dilute US shareholders to below 35% while leaving the economic rights of the ordinary shares intact.
