XOMA Royalty has completed the acquisition of Generation Bio and, through its subsidiary XRA 7 Corp., acquired all outstanding common shares at $4.2913 per share plus a non-tradable contingent value right (CVR). Around 70% of the shares were tendered; after closing Generation Bio is a wholly owned subsidiary of XOMA Royalty and the remaining shares were automatically converted at the same price. Nasdaq has suspended trading in the GBIO share and the company will be delisted, cease its SEC reporting obligations and have its registration cancelled. XOMA Royalty and Takeda renegotiated their licensing agreement: Takeda is buying back most of XOMA’s claims to royalties for Mezagitamab, while XOMA retains a royalty in the low single-digit percentage range and entitlement to reduced milestone payments of up to USD 13 million. In return, XOMA will receive royalties and milestone payments going forward for nine development candidates from Takeda’s portfolio that were licensed to third parties, including Osavampator, Volixibat, OHB-607 and REC-4881.
