OmniMetrix, a subsidiary of Acorn Energy, has acquired the assets of backup-generator monitor Gen-Tracker for $3.5 million. Of the purchase price, $1 million was paid at closing, with additional instalments of $450,000 annually in the first four years and $700,000 in the fifth year. The acquisition includes customer accounts, dealer relationships, brands, technology, receivables and hardware inventory and represents about 7% of Acorn’s market capitalization. Acorn reported Q2/2026 revenue down 29.4% to $2.49 million, but remained profitable with net income of $294,000 and improved gross margin to 82.4%. Acorn Energy reported Q4 2025 revenue up 4.5% to $11.48 million, led by a 22% increase in its monitoring business. Gross margin improved by 400 basis points to 76.8%, while hardware sales declined due to timing effects and the amortization of deferred revenue. Acorn Energy entered into new consulting agreements with Jan H. Loeb (president and CEO; interim CEO of OmniMetrix) and Tracy Clifford, including annual cash compensations of $207,400 and $222,789 respectively, and stock options for 25,000 shares at an exercise price of $19.02 with a staggered vesting schedule. Both received a one-time bonus equal to 5% of their gross cash compensation for 2025 in connection with building a technology partnership between OmniMetrix and AIO Systems. The company also changed its compensation policy for non-employee directors and will grant annual options of 3,125 shares; the 2026 grants were issued at $19.02.
