HSS Hire Group sends circular ahead of shareholder vote on 6 November

HSS Hire Group has sent a circular to shareholders who did not opt for electronic communication, containing details of a transaction requiring approval as well as notice and proxy forms. The general meeting will be held on 6 November 2025 at 11:00 at the Sofitel London Heathrow Terminal 5, where the annual report and financial statements for the 15‑month period to 31 March 2025 will also be considered. Admission of the subscription shares to trading depends not only on shareholder approval but also on clearance from the UK Competition and Markets Authority (CMA); timing in the schedule is provisional. HSS Hire carries out strategic realignment with deal for ProService

HSS Hire has completed the separation of ProService and THSC and agreed a long-term trading arrangement with Speedy Hire as well as the conditional sale of THSC to funds managed by Endless LLP, expected to close before the end of 2025. For the 15-month period to 31 March 2025 the company reported revenue from continuing operations of £379.0m and a pre-tax loss of £130.3m, which included an impairment of £113.5m related to THSC. On a 12-month basis revenue fell to £298.2m, adjusted EBITDA declined by 26.7% and the margin fell to 13.3%. Net debt reduced to £97.6m, supported by £30.1m of proceeds from strategic disposals; going forward HSS intends to operate as an asset-light full-service marketplace focused on the digital ProService platform. » Więcej na de.investing.com
HSS Hire Group: shareholders approve all 11 resolutions at annual general meeting

Shareholders of HSS Hire Group voted by a clear majority in favor of all 11 resolutions put forward at the annual general meeting. Chairman Alan Peterson and CEO Steve Ashmore were re-elected with over 99% support each.
