Rumble Deutschland AG has informed Northern Data of its intention to transfer Northern Data shares held by minority shareholders against appropriate cash compensation pursuant to sections 327a et seqq. of the Aktiengesetz (Stock Corporation Act). The amount of the cash compensation will be determined on the basis of a company valuation to be completed. Northern Data is in advanced, constructive negotiations with RUM Group Inc. over a long-term lease for the Maysville, Georgia site. The agreement is expected to include market-standard terms and, once signed, will bind one of Northern Data’s largest sites on a long-term basis. Northern Data reports Q2 2026 revenue of around EUR 54m and adjusted EBITDA of around EUR 23m, with cash of about EUR 40m. As of 30 June 2026 a non‑cash fair‑value impairment of the receivable from contingent consideration of EUR 251m was recorded, reducing the carrying amount from EUR 271m to EUR 20m. The write‑down results from revised assumptions on the probability and timing of a sale of the Corpus Christi sites, changed expectations for future cash flows due to Bitcoin price developments, and the expiry of a purchase option.
