Sterling Infrastructure

Sterling Infrastructure has amended its credit agreement, increasing the revolving credit facility to up to $1.5 billion and extending it through July 2031. The increase represents an additional $1.05 billion versus prior facilities and replaces existing term and revolving loans. The agreement relaxes covenants, reduces financing costs by removing the SOFR adjustment and lowering margins, and is intended for refinancing, investments and permitted acquisitions. The board of Sterling Infrastructure has extended CEO Joseph A. Cutillo’s employment agreement through December 31, 2027, and granted him 40,000 Restricted Stock Units (RSU). The RSU vest early upon successful onboarding of a successor or upon continued employment through the end of 2027, and also upon a change of control, death, disability, or certain termination events.
