Schiehallion Fund appoints Patrick Firth as non-executive director

The Schiehallion Fund has appointed Patrick Firth as non-executive director with effect from 1 July 2026. Firth brings more than 30 years of experience as an accountant, auditor and senior executive in fund administration and is currently a non-executive director and chair of the audit committee of several London-listed investment companies. Schiehallion Fund explains proposed B‑share structure and responds to ISS concerns

Ahead of the extraordinary general meeting on 8 December, the board of directors of Schiehallion has published detailed information to counter a negative recommendation from proxy adviser ISS. The proposed B‑share structure is intended to preserve FPI status and thus avoid onerous US reporting requirements; the B shares would carry only very limited voting rights, restricted to appointments/removals of the board, and would dilute US shareholders to below 35% while leaving the economic rights of the ordinary shares intact.
