Can-Fite BioPharma has called an extraordinary general meeting for March 3, 2026, to consider proposals including the election of a new independent director. The call follows a notice from NYSE American stating that, after the resignation of an independent director, the audit committee no longer meets the minimum requirement of three independent members. If an independent director is elected at the extraordinary meeting, they would join the audit committee and restore compliance with NYSE requirements. Can-Fite BioPharma has approved a reverse split of its ordinary shares at a ratio of 1-for-3,000, effective on the Tel Aviv Stock Exchange on January 2, 2026; trading in the newly consolidated shares will begin on January 5, 2026. At the same time, the company is adjusting its ADS ratio: one ADS will now represent two ordinary shares instead of 300 previously (equivalent to an ADS split of 1-for-20) and will receive a new CUSIP number.
