Scipher Medicine merges with Chemomab in an all-stock transaction – valuation $150 million
Chemomab and Scipher Medicine are completing an all-stock transaction; the combined company will operate as Scipher Medicine and trade on NASDAQ under the ticker SCIP. Chemomab shareholders will receive about 32% and Scipher shareholders 68% of the diluted shares; the combined valuation is $150 million before a $30 million private placement. A consortium led by Northpond Ventures secures the $30 million financing, and liquidity is expected to extend into the second half of 2028. The goal is to advance Nebokitug (anti-CCL24) into a phase 2 trial for rheumatoid arthritis with top-line results expected in H1 2028; Dr. Reginald Seeto will be CEO, and Chemomab CEO Adi Mor will join the board.
