Fidelity European Trust has completed its merger with Henderson European Trust, taking on net assets of approximately £462.7m. Henderson shareholders will receive 111,902,155 new Fidelity shares at an exchange ratio of about 0.510196 Fidelity shares for each Henderson share; admission of the new shares to trading is expected on 29 September. Fidelity is also assuming Henderson’s privately placed debt notes (including €25m Series A 2047 and €10m Series B 2052). Henderson European Trust has corrected an earlier notice on the reclassification of shares and confirms that 219,322,790 shares (70.96%) are being reclassified with “A” rights, entitling holders to subscribe for new shares in Fidelity European Trust. The remaining 89,775,401 shares (29.04%) will receive “B” rights and entitle holders to a cash settlement. The reclassification takes effect on 25 September 2025 at 08:00, has been approved by the FCA and the London Stock Exchange, and is part of the voluntary liquidation and merger with Fidelity; trading is expected to be suspended on 26 September 2025. » Więcej na de.investing.com
