Highway Holdings has signed a non-binding letter of intent with Guangdong Huahu New Energy Technology to establish a joint venture in Hong Kong, starting with USD 3.5m (about USD 2.0m cash from Highway, USD 1.5m in products and technology transfer from Huahu). Highway would hold 57% and Huahu 43% of the venture; Huahu is to grant the joint venture exclusive SKD manufacturing, marketing and distribution rights for Germany, Italy, the US and certain South American markets. The agreement foresees issuance of locked Highway shares to Huahu in several tranches (up to 600,000 shares in total) tied to milestones; closing is subject to due diligence, final agreements, approvals and financing. Highway Holdings’ stock rose sharply (about 87.8%) after the company signed a letter of intent to acquire 51% of German Regent-Feinbau Adermann GmbH. The transaction is to be paid largely in cash and partly in unregistered shares, with closing planned by the end of March 2026 and subject to due diligence and a definitive agreement.
