The agency assigned the planned $2bn senior secured loan a Recovery Rating of 3; the loan is to refinance debt and fund a $360m dividend to Leonard Green. S&P expects adjusted pro‑forma leverage to rise to about 6.8x after the transaction (falling to ~6.5x by end‑2026) and EBITDA interest coverage to drop below 2.5x in the next 12 months; pro‑forma liquidity is about $23m plus nearly full availability on a $375m revolver. Leonard Green & Partners, which already owns about 67% of Mister Car Wash shares, has signed a definitive agreement to buy the remaining shares for $7.00 per share; the cash deal is valued at $3.1 billion and represents a 29% premium to the 90-day average price. Shares rose 16.6% in premarket trading and the deal is expected to close in the first half of 2026, after which Mister Car Wash will be delisted from NASDAQ. CEO John Lai said the take-private is intended to accelerate investments in locations, employees and technologies.
