Eli Lilly has completed its acquisition of AtaiBeckley; AtaiBeckley is now a wholly owned subsidiary. Each outstanding common share was converted into the right to $6.75 in cash plus a CVR that pays up to an additional $2.50 per share upon achievement of specified clinical and regulatory milestones. AtaiBeckley has requested a trading suspension and asked Nasdaq to remove its listing; the board and executives have resigned.
