ePlus approves increase in common shares and elects nine directors
Shareholders of ePlus voted at the annual meeting to increase the number of authorized common shares from 50,000,000 to 75,000,000; the amendment became effective immediately upon filing in Delaware. Nine directors were elected, an advisory vote on executive compensation was approved, and Deloitte & Touche was confirmed as auditor. ePlus reported better-than-expected Q1 results (adjusted EPS $1.28, revenue $649.1 million), cited strong demand in AI infrastructure and security, and said Managed Services reached a new recurring-revenue milestone of over $50 million. ePlus expands Microsoft services with Daymark acquisition as margins slip
ePlus completed the acquisition of Daymark Solutions to deepen its Microsoft Azure, Microsoft 365, Copilot and cybersecurity capabilities and strengthen its New England footprint. The deal aligns with ePlus' fastest-growing managed services segment, which rose 15.1% to $51.3 million, while cash and equivalents increased to $448.9 million. However, fiscal Q1 results showed net earnings down 5.4%, adjusted EBITDA down 9.2% and gross margin compressing to 23.3% as margins fell across all segments and supply-chain delays hit product sales. FPA Queens Road Small Cap Value Fund flagged ePlus (PLUS) as a value-added reseller positioned to benefit from accelerating corporate IT budgets, citing its consultative, low-inventory model and exposure to IT infrastructure, cloud and cybersecurity services. ePlus was added to the fund in 2025 and is viewed as growing faster with less volatility than industrial distributors.
