Owens & Minor sells Products & Healthcare Services division to Platinum Equity and rebrands as Accendra Health
Owens & Minor has completed the sale of its Products & Healthcare Services division and the Owens & Minor brand to Platinum Equity for USD 375 million in cash and is renaming the publicly traded parent company Accendra Health. Accendra Health will retain a 5% stake in the sold business and secures tax benefits of more than USD 150 million. The deal is intended to reduce the company’s debt burden of over USD 2.2 billion and improve strained liquidity (current ratio 0.86), while the company will focus going forward on the home care business under the Apria and Byram brands. » More on de.investing.com
Owens & Minor will be called Accendra Health going forward, switching ticker to ACH
Owens & Minor will change its name to Accendra Health as part of a strategic realignment on December 31, 2025; from January 2, 2026 the stock will trade on the NYSE under the ticker symbol ACH, the CUSIP will remain unchanged and shareholders do not need to take any action. The parent company will be renamed while the brands Apria and Byram Healthcare will remain operational, and the new website accendrahealth.com will launch on January 2. The company carries $2.24 billion in debt, but analysts nevertheless forecast a return to profitability for the year with EPS of $1.05. The restructuring has led to management changes and rating downgrades by UBS and Moody’s, which criticized the company’s financial stability and proceeds from prior disposals. » More on de.investing.com
Moody’s downgrades Owens & Minor to B2 after division sale
Moody’s cut Owens & Minor’s Corporate Family Rating from Ba3 to B2 with a negative outlook and also downgraded several debt instruments and the Speculative Grade Liquidity Rating. The reason is the reduced size and diversification following the planned sale of the Products & Healthcare Services division and the expectation that sale proceeds will only lead to limited debt reduction, leaving adjusted leverage likely above 5x. Moody’s sees sufficient liquidity in the short term but cites risks from carve‑out costs, uncertainty around growth in the remaining Patient Direct business, and sets criteria for potential upgrade or further downgrade triggers (Debt/EBITDA <4.5 or >5.5). » More on de.investing.com
