Aifu Inc. agrees to acquire Nova Lumina in stock and cash deal

Aifu Inc. has entered into an agreement to acquire 100% of the shares of Nova Lumina Limited. The consideration consists of 102,578,839 Class A common shares of Aifu and a cash payment of USD 22.0 million, with the shares to be issued predominantly to YS Management Company Limited and a smaller portion to Ethereal Group Ltd. The shares issued to YS are subject to a five-year lock-up; closing is expected in January 2026 and Aifu also plans to issue 5,000,000 Class B shares.
