BiomX acquires a 10 percent stake in M.E.A. Testing Systems Ltd. and Mea Motomova India for US$50,000 and obtains an exclusive license to develop and distribute testing solutions for drones. Motomea will issue 1,300,000 restricted shares to the majority holder; the transaction is subject to regulatory and NYSE American approval. BiomX received an option to acquire a controlling majority, with the purchase price to be set based on two times net revenue in 2027 and four times EBITDA in 2028 (multiplied by 90%), payable in shares and cash. BiomX extends the maturity of a promissory note of $1.25 million related to the Zorronet acquisition to November 1, 2026, and agrees an initial repayment of $250,000 followed by four monthly installments of $250,000 each.
