Novanta acquires Riverpoint Medical for up to $1.45 billion

Novanta has agreed to acquire Riverpoint Medical for $1.2 billion in cash plus a $250 million milestone payment, with closing expected in the third quarter of 2026 subject to approvals. The acquisition is intended to double recurring revenue from medical consumables to around $300 million and raise the share of the medical end market to 60%. The purchase price equals roughly 19 times estimated adjusted EBITDA for 2026 (17 times including synergies); Novanta expects adjusted EBITDA of about $80 million for 2027 including synergies.
