The board of directors of PetMed Express has received a non-binding cash offer from SilverCape Investments of $3.00 per share, a reduction from the earlier $4.00 proposal made in December 2025. The offer represents a 65% premium to the current share price but is not formal and shareholders are not required to take any action at this time. The board is reviewing the offer with financial and legal advisors; no decision has been made and a transaction is not guaranteed. PetMed Express announces that the 2026 annual meeting will be held virtually on August 11, 2026. Because the date differs from last year’s by more than 30 days, the earlier deadlines in the proxy statement 2025 are no longer valid; the new receipt deadline for proposals under Rule 14a-8 and for nominations is close of business on May 31, 2026. PetMeds is partnering with Rural King to introduce a pet-pharmacy service as a white-label offering in the retailer’s 150 stores and on its digital platforms. PetMeds will provide pharmaceutical infrastructure, licensed pharmacists and e-commerce capabilities so customers can purchase prescription medications and preventive treatments.
