Synovus reports mixed Q4 2025 results ahead of merger with Pinnacle
Synovus recorded diluted earnings per share of $1.22 for Q4 2025, a decline from the prior quarter, despite a higher net interest margin of 3.45% and growth in loans and deposits. The quarter was weighed down by an additional tax/penalty of $14 million related to the return of a BOLI; net charge-offs and nonperforming loans increased, driven largely by a single C&I loan. Financial Institutions places $80 million subordinated note to refinance
Financial Institutions placed a private placement of subordinated Fixed-to-Floating Notes totaling $80 million due 2035; the securities pay 6.50% p.a. until 15.12.2030, thereafter quarterly SOFR plus 312 basis points. Proceeds will be used to repay outstanding 2015 and 2020 bonds amounting to $65 million and for general corporate purposes. The issuance was rated BBB- by Kroll, and Piper Sandler acted as sole placement agent.
