Tenable falls after issuance of convertible bond and Wedbush downgrade
Tenable shares drop about 5.2% to $30.38 after the company priced an upsized convertible bond of $725 million with a 0.25% coupon maturing in 2031. Investors worry about dilution because the initial conversion price is around $44.84 per share, although part of the proceeds is intended for share buybacks and repayment of loans. Additional pressure came from Wedbush’s downgrade to "Underperform" with a $29 price target, citing weakness in the core vulnerability-management business and competition from AI-native providers. » More on de.investing.com
Tenable places $725m convertible notes due 2031
Tenable placed $725 million of senior convertible notes in a private placement with a 0.25% coupon maturing in 2031; the deal was increased from an initial $650 million and includes a 13‑day overallotment option of $75 million. The conversion price is about $44.84 per share (a 40% premium to the Sept. 10 closing price) and the notes may be redeemed early under certain share‑price conditions. Tenable expects net proceeds of roughly $705.6 million (up to $778.8 million if the option is fully exercised) and plans to use the funds for capped‑call transactions, a repurchase of about 5.3 million shares for approximately $170.5 million, repayment of borrowings and general corporate purposes. » More on de.investing.com
Tenable plans $650m convertible bond and shares fall on dilution fears
Tenable announced a private placement of up to $650m in senior convertible notes due 2031, plus a $65m greenshoe option. Investors fear dilution, although a repurchase of common stock of up to $200m and capped‑call transactions are planned. The proceeds are also intended to fully repay existing loans, while the announcement, together with a risk‑averse market mood, has significantly weighed on the share price. » More on de.investing.com
