Valereum applies for cross-trading on US OTCQB market
Valereum has filed an application with the OTC Markets Group for cross‑trading of its ordinary shares on the OTCQB in the US to enable trading in US dollars through American brokers and provide better access for North American investors. The application follows the sale of the majority stake in London BTC Company Limited, which removed a regulatory obstacle related to the Investment Company Act of 1940. Valereum sees the OTCQB step as part of its US capital markets strategy, which also includes possible listings on NASDAQ or the NYSE and a planned royalty and streaming financing of USD 200 million. Valereum close to completing $200 million royalty and streaming financing
Valereum is close to completing a $200 million financing via a royalty and streaming structure for which a special purpose vehicle (Valereum QGP‑SP) has been established. Quorium Global Photonics SPC (QGP) holds 12,595,437 previously issued ordinary shares under lock‑up until the funds are released. Completion still depends on final compliance checks and signing of the agreements; the funds are intended for tokenisation, infrastructure and digital assets. Valereum secures $200 million and plans U.S. IPO
Valereum has entered into a binding capital agreement for $200 million with the forming Valereum QGP-SP and is offering it up to a 49.9% stake. The financing will be provided through perpetual QMTN call certificates with a 5.25% annual interest rate, payable quarterly. Valereum intends to apply shortly for a listing on the NASDAQ or the New York Stock Exchange; the capital is intended to fund development of crypto, blockchain and tokenization platforms, a digital-asset treasury and strategic acquisitions.
