Belgravia Hartford plans private placement of up to C$500,000

Belgravia Hartford will place up to 19,230,769 units at C$0.026 each to raise up to C$500,000 in gross proceeds; each unit consists of one common share and one-half of a warrant, a whole warrant exercisable within one year at C$0.08. Proceeds are to be used for general corporate purposes, including investments in bitcoin, call options on MicroStrategy, the BITX ETF, proprietary holdings, as well as technology development and working capital. The company currently has cash of about C$1,000,000 but shows rapid cash burn and a current ratio of 0.87. The issued securities are subject to a hold period of four months and one day; closing is subject to regulatory approvals. R.
