ENNOCONN Corporation reduces purchase of Kontron shares to 12,238,502 after withdrawals

ENNOCONN Corporation reports that a further 1,000 shares were withdrawn from its mandatory offer, bringing the total number of Kontron shares to be acquired in the settlement to 12,238,502. The subsequent sale took place on 19 August 2026 off-exchange at €23.50 per share. Kontron: Morgan Stanley reports crossing reporting threshold and holds 5.17% including instruments

Morgan Stanley & Co. International plc on 29 July 2026 crossed the notification threshold and reports an aggregate position of 5.17% of voting rights in Kontron. Of this, 0.29% relates to directly held shares, 3.45% to rights from securities-lending agreements and 1.44% to financial instruments (equity swap/cash-settled). Kontron: Ennoconn does not secure a majority stake after mandatory offer

The Taiwanese company Ennoconn tendered only around 12.3 million shares, or about 19.5% of the voting rights at Kontron, following the expiry of the mandatory takeover offer and will therefore not obtain a majority of voting rights. Kontron had criticized the offer price of €23.50 per share as financially inadequate and advised against acceptance.
