Pulmatrix has completed a private placement of Series B convertible loan preferred stock to a subsidiary of Eos SENOLYTIX for about $1 million; the transaction is part of the planned merger with Eos. Pulmatrix has signed a definitive merger agreement to acquire Eos SENOLYTIX; accompanying private placements raise a total of $19 million. The combined company is expected to be listed on the NASDAQ as Eos SENOLYTIX under the ticker EOSX, with Kevin Slawin as CEO. Proceeds will be used to further develop the MitoXcel platform and the clinical candidate PTC-2105 for treating age-related mitochondrial dysfunction; Pulmatrix shareholders are expected to hold about 6% of the combined company after closing and Eos shareholders about 94%.
