AMS shareholders approve takeover by H.B. Fuller

AMS shareholders have approved the planned cash takeover by H.B. Fuller, a milestone since the announcement on 25 June 2026. H.B. TA Associates has confirmed it does not intend to make an offer for the entire issued and to‑be‑issued share capital of AMS. The decision follows earlier reviews of a possible offer and was disclosed under Rule 2.8 of the City Code on Takeovers and Mergers. AMS increases revenue in 2025 by 29% and raises dividend by 10%

AMS reports preliminary 2025 revenue growth of 29%, an adjusted EBITDA increase of 24% and adjusted diluted earnings per share up 12%. Adjusted EPS was £0.12 (unadjusted £0.05), and adjusted pre-tax profit was £33.90m versus £17.80m total. The board proposes a 10% increase in the annual dividend.
