Ashington Innovation has signed a non-binding letter of intent to acquire Singapore-based World Metal Group for about £160 million. The consideration is to be paid in new Ashington ordinary shares; the deal would acquire the entire share capital of a newly formed Cayman Islands holding company that will hold WMG and its operating subsidiaries. The transaction is conditional on matters including reorganisation, execution of a definitive purchase agreement, due diligence, shareholder approval, admission to the Main Market and a waiver under Rule 9 of the Takeover Code. Ashington intends to rename itself World Metal Group plc on completion, to raise capital to fund growth and working capital, and to seek admission of the enlarged share capital. Shareholders of Ashington Innovation adopted all resolutions by a show of hands at the annual general meeting. Previously submitted proxy votes totaled 21,250,000 and produced 100% approval with no votes against. Approved were the annual financial statements for the year ended 31 December 2025, the management board’s remuneration report, the reappointment of the auditor including authorization for the management board to determine the auditor’s remuneration, and a provision allowing general meetings to be convened with a 14-day notice period.
