Blue Cap has signed the purchase agreement for 100% of Janoschka shares with the founders and Süd Beteiligungen; the purchase price will be paid in three roughly equal instalments, two of which are tied to performance targets for 2026/2027. Janoschka employs around 1,500 people, operates production sites in 12 countries and reported 2025 revenue of around EUR 90m. The transaction is subject to suspensive conditions and is to be financed from existing liquidity and current credit lines; upon completion Janoschka would be fully consolidated.
