Major shareholder Centrotherm AcquiCo has submitted a concrete request to exclude minority shareholders of centrotherm international via a merger-law squeeze-out. It still holds 90.00% of the share capital and has set the appropriate cash compensation at €8.74 per bearer share. A court-appointed examiner has already indicated they will confirm the adequacy; the merger agreement will be notarized. centrotherm international plant squeeze-out after 90% acquisition by Centrotherm AcquiCo

The majority shareholder Centrotherm AcquiCo has acquired 90% of the share capital of centrotherm international following completion of a share purchase agreement and is now seeking to carry out a squeeze-out under merger law by granting fair cash compensation. A merger agreement between the company and the majority shareholder is to be concluded and the resolution is to be voted on at the 2026 annual general meeting. The amount of the cash compensation has not yet been determined and will be based on a company valuation; a court-appointed expert will review its adequacy.
