ClearOne compensates advisers with shares and agrees merger with Vivani Medical

ClearOne has signed adviser agreements with four firms and is paying part of the fees in common stock: First Finance 25,000, Betelgeuse Capital 90,000, Gang3 Capital 140,000 and JJK Holdings 600,000 shares. The share compensation was at a price of USD 6.35 (market capitalization about USD 16.61 million). ClearOne completed the relocation of its domicile from Delaware to Nevada effective 4:00 p.m. ET; the certificate of conversion and the new articles were filed with the Secretaries of State in Delaware and Nevada. According to the company, the change has no effect on operations, assets, or liabilities, but will mean that Nevada corporate law and the new governing documents will apply to shareholder rights going forward.
