Planned delisting of LakeShore Biopharma jeopardized after buyer withdrawal

The buyer group led by Oceanpine Capital has declared its intention to withdraw from the privatization of LakeShore Biopharma agreed in November 2025 (USD 0.90 per share), citing arbitration awards that impose a liability of around 576,500,000 RMB (about USD 82 million) and thus represent a “material adverse effect.” The stock subsequently plunged to USD 0.40, a decline of more than 50% for the week. LakeShore Biopharma: special committee mandates advisers to review takeover offer

The independent special committee of LakeShore Biopharma has engaged financial and legal advisers (Kroll, Gibson Dunn & Crutcher, Maples and Calder) to review a non-binding takeover proposal received on Aug. 26. No deal has been guaranteed; the announcement lacked details on bidders and terms.
