LanzaTech stake completes Hong Kong IPO with around $75m

The joint venture Beijing Shougang LanzaTech Technology placed 40 million H shares at about $1.86 each, raising gross proceeds of around $75 million, implying a market capitalization of about $750 million. After the IPO, LanzaTech holds 33,520,231 H shares (around 8.38%) via a subsidiary; previously it held 9.31%. LanzaTech updates agreement with LanzaJet and automatically secures 50% stake if an event occurs

LanzaTech and investors in LanzaJet have revised the investment and shareholder agreements: after reaching development milestones LanzaTech will receive two tranches of LanzaJet shares, and if a sale or IPO occurs before allocation the stake will automatically rise to 50% without further investment. The 2020 license and technology agreement has been extended until December 31, 2031, the termination right removed, the license transferred to LanzaJet and sublicensing restrictions lifted. LanzaTech and LanzaJet amend agreements and adjust terms for share issuance

LanzaTech has agreed amended investment, shareholder and licensing agreements with LanzaJet’s investment partners under which LanzaJet will immediately issue 15 million shares and, subject to project milestones, a further 15 million shares to LanzaTech by no later than 31 December 2025. The changes also permit conversion of outstanding loans into equity, loosen licensing restrictions toward third parties and remove LanzaTech’s right to terminate if commercial milestones are not met until the end of 2025; in addition, LanzaTech transfers a key technology license to LanzaJet.
