Leonteq approves share buyback up to CHF 100 million and elects Andreas Casutt as board chairman

Leonteq shareholders approved a buyback submitted by major shareholder Rainer‑Marc Frey: up to 5 million registered shares with a maximum acquisition value of CHF 100 million (autumn 2026 to end of June 2028). Andreas Casutt was elected chairman of the board with around 83% of the votes; he is considered not independent due to his connection to Horizon21. Frey holds just under 30% of the shares via H21 Macro. Leonteq: major shareholder Rainer-Marc Frey increases stake to nearly 30% after Raiffeisen purchase

Rainer-Marc Frey, via H21 Macro, acquired 1.19 million Leonteq shares (about 6.5% of outstanding shares) from Raiffeisen Schweiz and now holds 29.78% of Leonteq directly and indirectly. The purchase comes ahead of the extraordinary general meeting on 21 September, where Frey’s proposal for a share buyback program (up to 5 million shares, up to CHF 100 million) will be voted on. The board of directors made no recommendation on the buyback proposal; changes to the board (Andreas Casutt as president, Reto Suter as member) and the discharge for 2025 are also on the ballot.
