NuRAN Wireless files short form base prospectus and prepares possible capital measures

NuRAN Wireless has filed a short base prospectus and received final approval from Canadian regulators; it also submitted an F-10 registration statement with the SEC seeking effectiveness no later than Wednesday at 4:30 p.m. EST. The prospectus permits the issuance of securities, individually or in combination, at market terms, including public placements, strategic investments or at‑the‑market offerings. Net proceeds are intended primarily for the construction and commissioning of more than 2,000 telecom sites and related operating expenses. NuRAN Wireless hires King Tide for one-month investor-relations and PR campaign

NuRAN Wireless has engaged King Tide Media LLC from August 24 for an initial one-month mandate to provide investor-relations and public-relations services. NuRAN will pay $75,000 in advance; equity-based compensation is excluded. King Tide is to provide market research, branding, marketing, investor and customer analysis, and target-audience strategy, and will act independently on market-standard terms, according to the company.
