Schiehallion Fund appoints Patrick Firth as non-executive director

Schiehallion Fund explains proposed B‑share structure and responds to ISS concerns

Ahead of the extraordinary general meeting on 8 December, the board of directors of Schiehallion has published detailed information to counter a negative recommendation from proxy adviser ISS. The proposed B‑share structure is intended to preserve FPI status and thus avoid onerous US reporting requirements; the B shares would carry only very limited voting rights, restricted to appointments/removals of the board, and would dilute US shareholders to below 35% while leaving the economic rights of the ordinary shares intact. The board stresses that such arrangements occur with investment trusts that have a high proportion of US shareholders, expects improved liquidity from a Main Market listing, and unanimously recommends voting in favour of all resolutions. » Plus sur de.investing.com
