With effect from 14 August, Wise Group has replaced Wise Limited as the senior guarantor for Wise Financing plc’s Euro Medium Term Note programme, with a capacity of £2 billion. The change affects, among other instruments, bonds of more than £250 million issued with a 5.1% coupon and maturing on 25 November 2030; trustee and agency agreements and the bond terms have been amended accordingly and creditors notified. The US Office of the Comptroller of the Currency (OCC) has rejected Wise's application for a national trust bank charter, citing deficiencies in the original filing, including issues related to a multi-state consent order from July 2025. Wise says the decision does not affect its ongoing US operations; the company continues to operate as a money transmitter in 48 states and four territories. In response, Wise has strengthened its US compliance program and plans to submit a new application under the GENIUS Act. Wise Group has confirmed the start of the share buyback programme announced on 26 June. Goldman Sachs International has been appointed to repurchase up to 102,500,025 class A ordinary shares for a total maximum consideration of £405 million, to be completed by 31 March 2027 at the latest. About 40% of the repurchased shares will be transferred to the Employee Share Trust for employee remuneration, while the remaining 60% will be held as treasury shares.
