Permira Advisers and CPPIB, via their vehicle Papilio Bidco, have satisfied all regulatory approvals for the takeover of JTC. Shareholders had already approved the plan in January; competition clearances in Austria, the US and Germany are in place. A court hearing is scheduled for 19 August, and completion of the transaction is expected on 20 August, subject to court approval and other conditions. JTC reports that its business development for the first half of 2026 was in line with management expectations and states it has completed the integration of the acquisitions of Citi Trust and Kleinwort Hambros Trust. The takeover agreement by Papilio Bidco Limited at £13.40 per share (enterprise value around £2.7bn) was approved by shareholders; completion is expected in the third quarter of 2026, subject to regulatory approvals.
