DevvStream amends merger agreement with XCF Global and Southern Energy and postpones shareholder meeting

DevvStream, XCF Global and Southern Energy have signed an addendum to their merger agreement adjusting pro‑forma ownership stakes: former Southern Energy shareholders will hold about 20% after the merger (previously 23.3%), DevvStream shareholders about 10.43% (previously 10.0%) and existing XCF shareholders about 69.57% (previously 66.7%). Several closing conditions were removed, including minimum cash requirements for Southern Energy, an investment bank engagement, revenue and EBITDA targets for XCF Global, as well as a Nasdaq threshold requirement and HSR clearance. Closing is conditioned on a $1 million investment by GL PART SPV I, LLC; additionally, EEME Energy SPV I LLC and GL PART SPV I, LLC have committed to financing of at least $4.37 million within three months and $50 million within twelve months. Trading in DevvStream suspended on Nasdaq, stock moves to OTC market

Nasdaq has suspended trading in DevvStream common stock for failing to meet minimum bid price and net income requirements. The share plunged and is now trading on the Pink Limited Market under the ticker DEVSF; the company is also applying for listing on the OTCQB. DevvStream obtains exclusive rights to CO₂ certificates from PLN Indonesia Power

DevvStream has reached a final agreement with PT PLN Indonesia Power for the exclusive rights to CO₂ certificates from an initial portfolio of 45 solar power plants in Indonesia. DevvStream will handle creation, certification, storage and sale of the certificates; proceeds will be shared between the partners, and no upfront investments by DevvStream are expected. The company also announced a private placement of $250,000 to strengthen working capital and support short‑term liquidity as well as planned mergers with XCF Global and Southern Energy Renewables; the current ratio is 0.08.
