CaixaBank announces the planned issuance of subordinated Tier-2 bonds; Morgan Stanley Europe SE will act as coordinating stabilization manager, supported by BNP Paribas, CaixaBank, Crédit Agricole CIB and Goldman Sachs Bank Europe SE. The stabilization period is scheduled from 6 November to 14 December 2025, during which over-allotments and market-supporting transactions may occur. The total nominal amount and issue price are not yet determined, and trading in connection with the measures is expected to take place on the regulated market of Euronext Dublin. CaixaBank reports a net profit of €4.397bn for the first nine months of 2025 (+3.5%) and posts strong volume growth: business volume rises 6.8% to €1,088bn, the customer base grows to 18.8m and market share in retail banking climbs to 40.4%. Net interest income (NII) increased 1.4% quarter-on-quarter, fee income rose 5.7%, and the NPL ratio fell to a record low of 2.27%. CaixaBank will issue additional tier-1 CoCo bonds with a volume of €500m; the bonds are perpetual, non‑cumulative and callable for the first time after ten years. JP Morgan will act as stabilization coordinator, supported by Barclays, BofA Securities, CaixaBank and HSBC; an overallotment of up to 5% could increase the size to €525m.
