Veralto has signed a definitive agreement to buy Cleanwater1 for $465 million (net about $452 million after tax benefits). Cleanwater1 provides on-site hypochlorite disinfection, solids management and odor filtration and operates roughly 25,000 sites; trailing 12‑month revenue to June 30, 2026 was about $135 million, roughly 25% of which is aftermarket. The purchase price equals about 17 times adjusted EBITDA; closing is expected in Q4 2026, and Veralto expects a neutral to slightly positive effect on adjusted EPS in 2027 and a return on invested capital in line with or above its cost of capital by the fourth year. » Mere på de.investing.com

Veralto issued a $725 million senior note with a coupon of 4.850% and an issue price of 99.996%. Closing is expected around June 1, 2026, and interest will be paid semiannually.
