Northern 3 VCT has amended its investment management agreement with Mercia Fund Management; the changes take effect on 1 October 2026. The annual management fee falls from 2.06% to 2.00% of net asset value, the cash threshold for this fee rises from £20m to £30m, and for assets above £30m the fee increases from 1.00% to 1.75%. Management fees will be calculated quarterly going forward, Mercia will no longer charge initial management fees for new portfolio companies and may charge follow-on fees for existing investments until 1 October 2029; ongoing investments will be completed on the previous terms.
