1Spatial receives French approval for takeover by VertiGIS

The French Ministry of the Economy has granted approval for VertiGIS’s takeover of 1Spatial, fulfilling the final regulatory condition of the transaction. UK and Belgian authorities had already consented; the takeover is to be implemented via a court-sanctioned Scheme of Arrangement. A court hearing and the filing of the order with the UK Companies House are still outstanding; trading suspension and delisting from AIM are scheduled for the end of April, with payment to shareholders within 14 days of effectiveness. Support for VertiGIS takeover of 1Spatial falls below 50%

VertiGIS reports that shareholder commitments for the recommended cash takeover of 1Spatial have fallen from 52.46% to 46.15%. Since the takeover announcement on 21 January, several institutional investors sold parts or all of their positions, including Canaccord Genuity, J O Hambro and Lombard Odier. Four major shareholders have sold around 5 million 1Spatial shares since the deal was announced, causing their stakes to fall significantly (e.g. Canaccord Genuity from 16.12% to 13.44%). The total of commitments from irrevocable and non-binding letters of intent fell from 58,676,393 to 53,670,109 shares, corresponding to a drop in the support ratio from 52.46% to 47.98% of issued capital.
