First Hawaiian agreed to an all-stock merger with TriCo Bancshares under which TriCo shareholders will receive 2.095 First Hawaiian shares per TriCo share, valuing TriCo at about $63.12 based on First Hawaiian's July 10 close. After closing, First Hawaiian shareholders are expected to own roughly 65% of the combined company and TriCo investors 35%. The deal, approved unanimously by both boards, will keep the Tri Counties Bank brand and is expected to close in 2026 subject to regulatory and shareholder approvals; four TriCo board members including CEO Rick Smith will join First Hawaiian's boards.
