BetterLife Pharma has filed a final short-form prospectus for a public offering of up to USD 100 million (CAD 138.75 million) and is offering up to 555 million common shares and pre-funded warrants at CAD 0.25 and CAD 0.24999 each. The minimum deal size is USD 80 million; the placement will be conducted by Bloom Burton Securities and Haywood Securities on a “commercially reasonable efforts” basis, and the agents will receive a 7% cash fee plus broker warrants. BetterLife Pharma has appointed Dr. Charles Duncan as a member of the board of directors and as chair of the audit committee. Duncan brings nearly 30 years of experience in the biopharma industry, including roles at Cantor Fitzgerald, Piper Jaffray and JMP Securities, and currently works with the Gilmartin Group and serves on the board of Vanda Pharmaceuticals. The company is granting him a total of 625,000 stock options in two tranches with a ten‑year term and staggered vesting; exercise prices will follow the rules of the Canadian Securities Exchange.
