Avocet Bidco, controlled by funds of private equity firm Accel-KKR, offers 235 pence in cash per Eleco share, valuing the equity at around £207.6 million. The price represents a premium of about 75% to the closing price and implies an enterprise value of £192.4 million, or 20.2 times EBITDA for the twelve months to 31 December 2025. Shareholders holding 45.2% of the shares have already pledged support; completion via a court-sanctioned scheme of arrangement is expected, subject to approvals, by Q1 2027. Eleco is selling Veeuze GmbH to 3A Consult in a management buyout; the purchase price includes an initial payment of €1 plus profit participation payments through 2030, capped at €250,000. The separation takes effect on 1 January 2026. Veeuze reported revenue of about £3.7m for the year to 31 December 2025, a pre-tax loss of roughly £1.3m and net liabilities of approximately £1.1m; Eleco is providing a senior loan of €1.5m with a variable interest rate (ECB base rate + 5.85%, minimum 8% p.a.).
