ICE launches bond issue to finance MarketAxess takeover
Intercontinental Exchange (ICE) has begun an investment-grade bond issuance in up to five tranches with maturities of three to ten years to finance the announced $6 billion takeover of MarketAxess. The longest tranche was indicatively priced at a spread of around 1.15 percentage points over US Treasuries. The issuance replaces the bridge financing previously committed by Bank of America and is being accompanied by a consortium including Bank of America, Citigroup, Fifth Third, Mitsubishi UFJ, PNC and Wells Fargo. » More on de.investing.com
ICE acquires MarketAxess for $6 billion in cash
Intercontinental Exchange (ICE) has agreed to acquire MarketAxess for $167 per share in cash, implying an equity value of about $6.0 billion and a 33% premium to the prior closing price. ICE will fund the purchase entirely with newly issued debt (bonds, term loans, commercial paper) and expects the transaction to be accretive to adjusted EPS in the first year. The company anticipates $100 million in annual cost synergies to be realized within three years and has increased its quarterly buyback program from $350 million to $400 million. Closing is expected in the first half of 2027 and remains subject to shareholder and regulatory approvals. » More on de.investing.com
Heartland highlights MarketAxess as attractively valued e‑trading platform despite near‑term headwinds
Heartland Mid Cap Value Fund initiated and built a position in MarketAxess, saying the company is exiting a heavy investment cycle and poised for margin expansion as spending plateaus and volumes recover. The fund cites market share gains in a key U.S. credit trading protocol and scale advantages in developed international and emerging markets, while noting current macro headwinds from heavy primary bond issuance and tighter credit spreads that have pressured trading volume. Valuation is highlighted as compelling at 8.8x consensus 2026 EV/EBITDA and a FCF/EV yield above 8%, with MarketAxess trading well below prior-year levels. » More on finance.yahoo.com
