Milton Capital signs term sheet to acquire Apostrophy
Milton Capital has signed a non-binding letter of intent and an exclusivity agreement to acquire European data protection and cybersecurity firm Apostrophy. Consideration is to be paid in new ordinary shares; Milton also plans to raise at least £6 million through an equity issuance on closing. Apostrophy, partly owned by Petter Neby, is expected to acquire telephony assets from Punkt before the takeover, with Neby and Mark Orsmond slated for leadership roles. The shares have been suspended from trading and the transaction is subject to conditions including due diligence, Swiss tax and legal reviews, financing, FCA approval of a prospectus and the Panel on Takeovers and Mergers’ consent to a Rule 9 waiver. » More on de.investing.com
