Strategic Minerals sells Leigh Creek copper mine to Cuprum Metals
Strategic Minerals has signed a binding agreement to sell the Leigh Creek copper mine to South Pacific Mineral Investments (Cuprum Metals). The structure provides for total cash payments of A$750,000 (A$500,000 held in trust), shares in a newly listed company worth up to A$3,000,000 (up to 19.9%), a 2% net smelter royalty on the first 24,900 tonnes and a 1% buyback right for A$1,500,000. In addition, earn-outs are included: 20% of semi-annual operating cash flow up to a maximum of A$4,000,000; completion remains subject to conditions such as approval by the Australian Foreign Investment Review Board.
