System1 rejects takeover offer from Brave Bison unanimously

System1’s board unanimously recommends shareholders reject the unsolicited takeover offer from Brave Bison. Brave Bison proposed either 2.04 new shares plus 135 pence in cash or 3.36 shares per System1 share; based on Brave Bison’s closing price the combined offer represents a discount of around 8.1% to System1’s closing price. Shareholders holding 21.61% of the capital, including directors holding 8.13%, have already indicated they will not accept the offer.
