Critical Metals files scheme booklet for takeover of European Lithium with ASIC
Critical Metals has lodged the transaction documents (scheme booklet) with the Australian regulator ASIC for its proposed takeover of 100% of the share capital and listed options of European Lithium. The takeover is to be effected by a court‑approved Scheme of Arrangement under the Australian Corporations Act; the first court hearing is scheduled for 15 September 2026, scheme meetings are planned for mid‑October and completion is expected in early November 2026, subject to approval by shareholders, option holders and the court. Critical Metals adjusts exchange ratio for takeover of European Lithium
Critical Metals has amended the takeover agreement with European Lithium, replacing the fixed exchange ratio with a flexible cap-and-collar calculated using the 20-day VWAP of CRML shares. The ratio is capped at 0.045 new CRML shares if the scheme VWAP ≤ $8.00, and at 0.025 if the VWAP ≥ $16.00; since the 20‑day VWAP was recently below $8.00, the current ratio would be 0.045. The adjustment also applies to listed options and performance rights; other terms remain unchanged.
